Terms of service
1. Who these terms are between
These terms apply between you and GEMCOMMERCE CO., LTD, trading as Gemians ("we", "us"). By placing an order you agree to them.
2. What we provide
We build Shopify pages and sections, either natively in your Shopify theme or inside GemPages, according to the package you purchase. Each package page states what is included, the price, and the delivery time.
3. What is included
Every package includes one build and one revision round, delivered by the stated delivery date. Anything beyond the scope described on the package is quoted separately before we do it.
4. Delivery times
Delivery times start from the moment we have everything we need from you, which normally means your reference or design files and collaborator access to your store. If those arrive late, the delivery date moves accordingly.
5. What we need from you
You agree to:
- Provide the reference, design files, content, and access we need to do the work.
- Confirm that you own, or have permission to use, everything you send us, including designs, images, text, and fonts.
- Review the delivered work and send revision requests within 7 days of delivery.
You are responsible for the content you supply. If a third party claims that content infringes their rights, that claim is yours to resolve.
6. Payment
Packages are paid in full at checkout. Custom projects are quoted separately and the payment terms are set out in the quote.
7. Ownership
Once your order is paid in full, the work we deliver is yours. You own it, you can edit it, and there is no vendor lock-in. We keep ownership of any general tools, code libraries, or internal methods we use to produce it, and we may reuse those on other projects.
We may show delivered work in our portfolio and marketing unless you ask us in writing not to.
8. No guarantee of results
We build to the reference or design you provide, using conversion best practice. We do not guarantee any particular conversion rate, revenue figure, ranking, or business outcome. Any figures shown on our site describe past projects and are not a promise of future results.
9. Third-party platforms
Our work runs on Shopify, and in some cases GemPages or other apps. We are not responsible for outages, pricing changes, deprecations, or breaking changes made by those platforms. If a platform change breaks previously delivered work, we can quote the fix.
10. Cancellation
Cancellation and refunds are covered by our Refund Policy.
11. Limitation of liability
To the extent permitted by law, our total liability for any claim connected to an order is limited to the amount you paid for that order. We are not liable for lost profits, lost revenue, lost data, or indirect or consequential losses.
12. Communication
We work asynchronously. Everything runs over email and, where you want one, a shared Slack channel. We do not run calls as part of standard packages.
13. Changes to these terms
We may update these terms. The version in force is the one published at the time you place your order.
14. Governing law
These terms are governed by the laws of Vietnam. Any dispute that cannot be resolved between us will be submitted to the competent courts of Hanoi, Vietnam.
